Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 6, 2007, Halliburton announced the following executive management changes:

Effective as of December 31, 2007:  Andrew R. Lane, Executive Vice President and Chief Operating Officer, will retire.

Effective as of January 1, 2008:  Senior Vice President and Chief Accounting Officer, Mark A. McCollum, will become Executive Vice President and Chief Financial Officer.  Mr. McCollum, age 48, has served in his present position since August 2003.  Prior to joining Halliburton, Mr. McCollum served as Senior Vice President and Chief Financial Officer of Tenneco Automotive, Inc. from November 1999 to August 2003.  Halliburton’s current Executive Vice President and Chief Financial Officer, C. Christopher Gaut, will become President of Halliburton’s Drilling and Evaluation Division.
