This Amendment No. 1 to Form 8-K is an amendment to the Current Report on Form 8-K filed by Halliburton Company on February 23, 2022 concerning the election of Ms. Tobi M. Edwards Young and Mr. Earl M. Cummings as members of our Board of Directors. The sole purpose of this Amendment No. 1 is to disclose the appointments of Ms. Young and Mr. Cummings to certain Committees of the Board.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 18, 2022, at a meeting of the Board of Directors, the Board appointed Ms. Young to its Audit and Nominating and Corporate Governance Committees and Mr. Cummings to its Audit and Compensation Committees.
